Stock Transfer Legal Requirements:

TO CLEAR AN ESTATE IN SINGLE NAME:

  • Court certified copy of the Certificate of Appointment of the fiduciary dated within sixty (60) days (original).
  • Affidavit of domicile.  Must bear original signature and be notarized.
  • Endorsement of fiduciary.
  • Inheritance Tax Waiver (if applicable) in your state.

TO CLEAR A POSITION WITH JOINT TENANCY OR TENANTS BY ENTIRETY WITH ONE TENANT DECEASED:

  • Certified copy of Death Certificate
  • Affidavit of domicile.  Must bear original signature and be notarized.
  • Endorsement by surviving tenant.
  • Inheritance Tax Waiver (if applicable) in your state.

TO CLEAR A POSITION WITH  JOINT TENANCY OR TENANTS BY ENTIRETY WITH BOTH TENANTS DECEASED:

  • Certified copy of Death Certificate of first decedent
  • Court certified copy of the Certificate of Appointment of the fiduciary dated within sixty (60) days (original) pertaining to the most recent decedent.
  • Affidavits of domicile for both decedents.  Must bear original signature and be notarized.
  • Endorsement by fiduciary of the most recent decedent.
  • Inheritance Tax Waiver (if applicable) in your state.

TO CLEAR A POSITION WITH TENANTS IN COMMON OR COMMUNITY PROPERTY WITH ONE DECEDENT:

  • Court certified copy of the Certificate of Appointment of the fiduciary dated within sixty (60) days (original).
  • Affidavit of domicile. Must bear original signature and be notarized.
  • Endorsement of fiduciary.
  • Endorsement of survivor.
  • Inheritance Tax Waiver (if applicable) in your state.

TO CLEAR A POSITION WITH TENANTS IN COMMON OR COMMUNITY PROPERTY BOTH TENANTS DECEASED:

  • Court certified copy of the Certificate of Appointment of the fiduciary dated within sixty (60) days (original).
  • Affidavits of domicile for both decedents. Must bear original signature and be notarized.
  • Endorsement by fiduciary of each decedent.
  • Inheritance Tax Waiver for both decedents.

TO CLEAR A CORPORATION NAME:

  • Resolution signed by corporate secretary specifically indicating and naming which officer(s) of corporation can sign on its; behalf.  Resolution must state signing officer has authority to sell, assign and transfer securities. (Form 1785, if one signature is required or, Form 1786, if two signatures are required.)
  • Endorsement by authorized officer. (cannot be officer who signed resolution.)

TO CLEAR A POSITION WITH AN INDIVIDUAL EMPOWERED BY POWER OF ATTORNEY:

  • Power of Attorney document signed by shareholder (principal) empowering the agent to sell, assign and transfer securities registered in his name.
  • Endorsement by agent as Power of Attorney.

TO REPLACE LOST CERTIFICATES:

  • Lost Certificate Affidavit document signed by shareholder and witness.
